2024 Navien NPF Hydro-furnace Promotion

Terms and Conditions

This document (“Agreement”) sets forth the terms and conditions between Navien, Inc., a California corporation, located at 20 Goodyear, Irvine, CA 92618 (“Navien”) and the authorized Navien contractor (“you” or the “Contractor”) for participation in the 2024 Navien NPF Hydro-furnace Promotion (“Promotion”). The Promotion is to be conducted between 10:00 a.m. Pacific Time (“PT”) on February 1, 2024, through 11:59 p.m. PT on April 15, 2024 (the “Promotion Period”), provided, however, that a qualifying purchase made after January 22, 2024, through the end of the Promotion Period, will be deemed to be within the Promotion Period and will be eligible for this Promotion. Navien may conduct multiple promotions during the Promotion Period, each of which will be subject to different rules, provided, however, that you may not receive more than one gift card or other promotional item from Navien during the Promotion Period. Terms and conditions are subject to modification, at Navien’s discretion, and notice of any change shall be as posted on Navien’s website. By submitting the form to participate in the Promotion, you are agreeing to all terms and conditions set forth in this Agreement.

1. Promotion.Each qualified Contractor will receive a $1,000.00 USD gift card for the purchase of the first Navien NPF Hydro-furnace (“NPF”) during the Promotion Period if claimed on the NPF Contractor Gift Card Promo Form (“Form”). For NPF purchases registered through www.NavienRewards.com before 11:59 pm on April 30, 2024, NavienRewards member(s) will receive $100 USD worth of points for the first unit registration and $200.00 USD worth of points for every NPF unit thereafter. The gift card must be accepted as awarded and may not be substituted, transferred or redeemed for cash or otherwise, except at Navien’s sole discretion. Any costs or expenses associated with the gift card, including but not limited to any applicable taxes, will be your responsibility. There is a limit of one gift card for each company to which Contractors are employed or affiliated.
2. How to Participate.To participate in the Promotion during the Promotion Period, you must submit the fully completed Form and submit it with the purchase invoice from the wholesaler which at minimum identifies the name of the wholesaler, the NPF unit that was purchased, price, and date of purchase. All properly submitted Forms will be reviewed at the end of each month during the Promotion Period, and for all Forms which are determined to be qualified and eligible, based on Navien’s sole discretion, a prepaid gift card will be sent to you at the beginning of the following month.
3. Eligibility. Participation in this Promotion is conditioned upon and subject to compliance with all of the following requirements:
   1. You must purchase the NPF during the Promotion Period. To receive the $1,000 USD gift card, the Form must be submitted with the purchase invoice before 11:59 pm on April 30, 2024. Late submissions will not be considered. All information requested in the Form must be completed. Any incomplete Form may be disregarded by Navien in its sole discretion, and Navien shall have no responsibility to notify you of any missing information in the submitted Form.
   2. To receive NavienRewards bonus points, you must be an authorized Navien Contractor and a NavienRewards member. If you are not a NavienRewards member, you can sign up at www.NavienRewards.com.
   3. To obtain points, each NPF purchase must be registered through www.NavienRewards.com prior to 11:59 pm on April 30, 2024. Purchase invoices will be audited before receiving points in your account.
   4. You must be at least eighteen (18) years old at the time of entry. Upon request, you may be required to show proof of being the authorized contractor, your affiliation with the company and/or your account holder status with NavienRewards.
   5. Each company, in which the Contractor is employed, contracted, or otherwise affiliated, is limited to one gift card under this Promotion and the first Contractor from each company submitting an eligible Form shall receive the gift card. The order of submittal shall be based on the time and date upon the Form was submitted. A company may include, but is not limited to a corporation, LLC, other entity form or fictitious business name through which Contractors are affiliated. You may receive no more than one gift card during the Promotional Period and cannot submit Forms through different companies.
   6. Excluded from eligibility in this Promotion are the officers, directors, employees, agents and representatives of Navien and its parent, affiliated or related companies, agencies, suppliers of the materials and services related to this Promotion, and members of any immediate families (defined as parents, siblings, children and spouses, regardless of where they live) or households (whether or not related) of such individuals.
4. Additional Eligibility Requirements: Prior to being eligible to receive the gift card or points, you must provide Navien with any information, releases or certifications needed by Navien, in its sole judgment, for purposes relating to the Promotion, including without limit for tax reporting purposes. Being eligible to participate in the Promotion is contingent upon compliance with the terms and conditions in this Agreement. The Promotion is subject to all applicable federal, state, provincial/territorial, municipal, and local laws, and regulations. The Promotion is void where prohibited. You may also be required to complete and return to Navien (or its authorized agent) by the requested deadline a written declaration and release, releasing Navien and its affiliates from any liability in connection with this Promotion. Navien’s decisions as to the administration and operation of the Promotion, including the exercise of any judgment or discretion, are final and binding in all matters related to the Promotion.
5. Additional Agreements/Waivers. BY PARTICIPATING IN THE PROMTION, YOU AGREE (A) TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMETN AND TO INTERPRETATION OF THESE TERMS BY NAVIEN, AND (B) TO RELEASE AND HOLD HARMLESS NAVIEN, ITS AFFILIATES, RELATED COMPANIES AND THEIR RESPECTIVE SUCCESSORS-IN-INTEREST, SUPPLIERS, DISTRIBUTORS, ADVERTISING/PROMOTION AGENCIES AND EACH OF THEIR RESPECTIVE PARENT COMPANIES AND EACH SUCH COMPANY’S OFFICERS, DIRECTORS, EMPLOYEES AND AGENTS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM AND AGAINST ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF PARTICIPATION IN THE PROMOTION. 
6. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the Promotion process; (4) technical or human error which may occur in the administration of the Promotion or the processing of Forms; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion.  
7. Publicity and Personal Information: Except as prohibited by law, participation in the Promotion constitutes your consent to Navien’s and its agents’ use and publication, without further compensation, of the your name, photograph, likeness, voice, opinions, biographical information, and details of winning for advertising, promotional, or regulatory purposes in any media, worldwide and at any time or times in perpetuity, without further notice, payment or consideration. If you participate in this Promotion, Navien and its authorized agents will collect, use and disclose the personal information you provide for the purposes of Promotion administration and prize fulfillment. Personal information collected in connection with the Promotion is stored on servers located in the United States and may be subject to foreign legislation. 8. General Conditions and Right to Void/Terminate/Suspend/Modify: All Forms and submittals become the property of Navien and none will be returned. All Forms and registration for points are subject to verification. Navien’s failure to enforce any term of in this Agreement shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of in this Agreement shall not affect the validity or enforceability of any other provision. If any provision of this Agreement is determined to be invalid or otherwise unenforceable, then the Agreement shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Navien reserves the right to terminate, suspend or modify this Promotion or the terms of this Agreement, in whole or in part, at any time and without notice or obligation if, in Navien’s sole opinion, any factor interferes with its proper conduct as contemplated in this Agreement. Without limiting the generality of the foregoing, if the Promotion, or any part thereof, is not capable of running as planned for any reason which, in the sole opinion of Navien, corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, Navien may terminate, modify, or suspend the Giveaway, or any portion thereof in its sole discretion. 
9. Governing Law: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Navien in connection with the Giveaway, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
